1. Introduction and Agreement
CorpDoc is a service brand of HamptonTCI Ltd. ("CorpDoc," "we," "us," "our"). These Terms and Conditions ("Terms") govern your ("Client," "you," "your") registration for and participation in the complimentary 20-minute strategic consultation ("Free Consultation").

By booking, scheduling, or participating in the Free Consultation, you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety. If you are acting on behalf of a company or other entity, you represent that you have the authority to bind such entity to these Terms.

2. Nature and Scope of the Free Consultation
2.1. Limited Purpose. The Free Consultation is a preliminary, high-level discussion intended for mutual exploration. It is designed to:

  • Allow you to describe your general business or financial challenges.

  • Enable CorpDoc to provide initial, directional observations based on publicly available information and your brief description.

  • Discuss at a high level whether CorpDoc’s paid advisory services might be a suitable fit for your needs.

  • Outline the general scope and process of a potential future paid engagement.

2.2. Explicit Exclusions. The Free Consultation is NOT, and shall not be construed as:

  • Professional Advisory Services: It does not constitute financial, legal, accounting, tax, or management consulting advice.

  • A Formal Engagement: It does not create a client-advisor relationship between you and CorpDoc or HamptonTCI Ltd. for the provision of paid services.

  • A Service Deliverable: No analysis, reports, models, plans, recommendations, or specific solutions ("Deliverables") will be provided during or as a result of the Free Consultation.

  • Due Diligence or Audit: We will not verify, audit, or analyze your financial data, business plans, or internal controls.

  • A Binding Proposal: Any discussion of potential future services, timelines, or fees is illustrative only and subject to a separate, formal written agreement.

3. Client Responsibilities and Information Provision
3.1. Accurate Information. You agree to provide accurate and non-misleading information about your business and the topics you wish to discuss.
3.2. No Confidential or Sensitive Data. You must not disclose, and we expressly ask you to refrain from sharing, any confidential, proprietary, or sensitive information during the Free Consultation, including but not limited to:

  • Detailed financial statements, tax returns, or transaction records.

  • Specific customer lists, business secrets, or intellectual property.

  • Personal data of individuals (employees, customers, etc.) beyond your own basic contact information.

  • Information subject to non-disclosure agreements with third parties.
    3.3. Consent for Use of Information. By participating, you grant CorpDoc a limited, non-exclusive license to use the non-confidential information you voluntarily provide solely for the purpose of conducting the Free Consultation and determining fit for potential services. This does not apply to information you explicitly identify as "Confidential" prior to disclosure, though we strongly advise against disclosing any such information (see Section 4).

4. Confidentiality and Data Protection
4.1. Mutual Expectations. Both parties agree to treat the existence and content of the Free Consultation discussion with discretion.
4.2. CorpDoc's Privacy Policy. Your personal data (name, email, company, etc.) collected during booking is processed in accordance with our Privacy Policy ([Link to Privacy Policy]), which forms part of these Terms.
4.3. Your Explicit Consent. By agreeing to these Terms, you expressly consent to:

  • The collection and processing of your booking and contact data.

  • Receiving follow-up communications related to the Free Consultation and information about CorpDoc services.

  • The recording of the consultation for our internal quality and training purposes only (if applicable, we will seek additional verbal consent at the start of the call).
    4.4. Disclaimer for Shared Information. If you elect to share information despite our request not to, you do so at your own risk. CorpDoc and HamptonTCI Ltd. shall have no obligation to treat such information as confidential or proprietary, and no duty of confidentiality is established by the Free Consultation.

5. Intellectual Property
All intellectual property rights in and to CorpDoc's and HamptonTCI Ltd.'s methodologies, frameworks, presentation materials, tools, and pre-existing know-how ("Our IP") remain the sole and exclusive property of HamptonTCI Ltd. Your participation in the Free Consultation does not grant you any license to use, reproduce, or rely upon Our IP beyond the context of the discussion.

6. Limitation of Liability and Disclaimer of Warranties
6.1. "As Is" Basis. The Free Consultation is provided on an "as is" and "as available" basis. CorpDoc and HamptonTCI Ltd. make no warranties, express or implied, regarding the consultation, including any implied warranties of merchantability, fitness for a particular purpose, or non-infringement.
6.2. No Liability for Actions or Omissions. You acknowledge and agree that any thoughts, ideas, or comments expressed by our personnel during the Free Consultation are preliminary and general in nature. To the fullest extent permissible by law, neither CorpDoc nor HamptonTCI Ltd., its directors, employees, or agents, shall be liable for any loss, damage, cost, or expense (including direct, indirect, incidental, special, consequential, or punitive damages, or loss of profits, revenue, data, or business opportunity) arising from, related to, or in connection with your participation in the Free Consultation, your reliance on any information discussed therein, or any actions you take thereafter.
6.3. Professional Advice Disclaimer. You are solely responsible for seeking independent professional advice for your specific situation and for all business decisions or actions you take. The content of the Free Consultation must not be relied upon as a substitute for such advice.

7. Indemnification
You agree to indemnify, defend, and hold harmless CorpDoc, HamptonTCI Ltd., its affiliates, and its personnel from and against any and all claims, losses, liabilities, damages, and expenses (including reasonable legal fees) arising from:

  • Your breach of these Terms.

  • Your provision of inaccurate, unlawful, or infringing information.

  • Your violation of any third-party rights during the Free Consultation.

  • Any actions you take based on the Free Consultation discussion.

8. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region. Any dispute arising from or relating to these Terms or the Free Consultation shall be subject to the exclusive jurisdiction of the courts of Hong Kong.

9. Modifications and Severability
We reserve the right to modify these Terms at any time. The updated Terms will be effective upon posting. If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

10. Entire Agreement
These Terms constitute the entire agreement between you and CorpDoc (a service of HamptonTCI Ltd.) regarding the Free Consultation and supersede any prior communications or proposals.
